Terms of Service

1. Who we are

CodeValue (codevalue.market) is supplied by NullH, ABN 88 797 576 775, a sole trader in Australia registered for GST (“we”, “us”). Contact: codevalue@nullh.xyz. By creating an account or buying credits you agree to these terms.

2. What CodeValue does — and does not do

  • CodeValue evaluates source code you connect from GitHub: it collects evidence from your repository without running it and produces a report with a technical index, findings and, if you allow it, AI-drafted text. Listing your software is free.
  • Price ranges and indexes are indicative estimates from the evidence available. They are not a valuation for any legal, tax, accounting or investment purpose, and not financial advice.
  • CodeValue does not sell code, take part in a sale, or broker, collect, hold or transfer money between buyers and sellers. Anyone buying or selling software deals directly with the other party.
  • What a seller states about their code (ownership, licences, what a sale includes) is the seller’s own statement. We may remove listings that appear to break the law or someone else’s rights.

3. Your account

  • Give accurate details, keep your sign-in secure, and tell us if you think your account has been misused.
  • Only connect or list repositories you own or are authorised to use.
  • We may suspend an account for fraud, abuse, a security risk or a serious breach of these terms, and will tell you why unless the law or the security of the service prevents it.

4. Evaluation credits

  • One standard code evaluation (a first evaluation or a re-evaluation) costs one credit. Viewing a completed report again costs nothing.
  • Every account receives 3 free credits once, after its email address is confirmed.
  • If an evaluation fails and produces no report, its credit is returned to your balance automatically.
  • Credits do not expire. They have no cash value and cannot be transferred, resold or exchanged for money.
  • When credit packs are on sale, they are one-time purchases — there is no subscription: Builder, 25 credits for US$19; Pro, 80 credits for US$49; Power, 200 credits for US$99; Business, 500 credits for US$199.
  • Packs are sold to customers in Australia. Prices are in US dollars and include GST. Payment is by card through Stripe, and you receive a tax invoice in your account (Settings → Credit purchases), showing the GST in US dollars and in Australian dollars at the exchange rate Stripe applied to your payment.
  • If a payment arrives from a billing address outside Australia, we do not add the credits and refund the payment in full.

5. Cancellations, refunds and payment disputes

  • You can leave the Stripe checkout at any time before paying; nothing is charged.
  • After payment, a purchase is complete. We refund where the Australian Consumer Law requires it (section 6), and may refund in other cases at our discretion — contact codevalue@nullh.xyz.
  • A refund removes the credits the purchase added, in proportion for a partial refund. If those credits were already used, your balance can go below zero until you have credits again.
  • If you dispute a payment with your card issuer, the purchase’s credits are removed when the dispute is opened. Please contact us first — we can usually resolve a problem faster.

6. Your rights under the Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your service contract with us and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract. Nothing in these terms excludes, restricts or modifies those rights.

7. Availability and support

  • We aim to keep CodeValue available, but it can be interrupted for maintenance, by GitHub or other providers, or by our daily limit on AI processing. An evaluation that cannot run is refused before any credit is used.
  • Support and complaints: codevalue@nullh.xyz. If we cannot resolve a complaint, you can contact the ACCC or your state or territory consumer protection agency.

8. Liability

Subject to section 6, and to the extent the law allows: our liability for a failure of an evaluation is limited to running the evaluation again or refunding the credits or money paid for it, and we are not liable for indirect or consequential loss, including decisions made on the basis of a report or price range.

9. Changes and governing law

  • We may update these terms. We will show the date of the change here, and tell you by email before a material change takes effect. Credits you already hold keep their value.
  • These terms are governed by the laws of Australia.
